1. Agreement to These Terms

These Terms & Conditions (“Terms”) govern your use of podrecruiting.com (the “Site”), our text messaging program, and the services provided by Pod Recruiting (“Pod Recruiting,” “we,” “us,” or “our”).

By using the Site, submitting a form, booking a call, or opting in to our text messaging program, you agree to these Terms. If you do not agree, please do not use the Site or the Services.

2. About Pod Recruiting

Pod Recruiting is a strategic talent practice serving independent mortgage leaders — mortgage company owners, large team leaders, and individual producers. We provide sales coaching, recruiting and placement, and mergers and strategic alliance advisory services (the “Services”).

3. SMS / Text Messaging Terms

3.1 Program description

Pod Recruiting operates a text messaging program for people who ask to hear from us. When you opt in, you can expect to receive text messages such as:

• Confirmations and reminders for your Strategic Alliance Assessment Call or any other scheduled call
• Replies and follow-ups to enquiries you send us
• Recruiting, placement and strategic alliance updates relevant to you
• Coaching check-ins, session reminders and follow-ups
• Occasional informational or promotional messages about Pod Recruiting’s own services

We only text people who have opted in. Consent to receive text messages is never a condition of purchasing any product or service.

We do not sell your personal information. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes, and text messaging originator opt-in data and consent will not be shared with any third parties, except for aggregators and providers of the text message services.

4. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site, the Services, or the text messaging program. By using them, you confirm that you meet this requirement and that any information you give us is accurate and belongs to you — including any phone number you submit, which must be a number you own or are authorized to enrol.

5. Use of the Site

You agree to use the Site lawfully and not to:

• Interfere with, disrupt, probe or attempt to gain unauthorized access to the Site or its systems
• Use any automated means to scrape, harvest or copy content from the Site
• Submit false, misleading or fraudulent information, or another person’s contact details
• Use the Site or our messages to send unsolicited communications, or for any unlawful, harassing or infringing purpose
• Reproduce, resell or redistribute our content or Services without our written permission

We may suspend or terminate access to the Site, the Services, or the messaging program at any time if these Terms are breached.

6. Services, Fees and Engagements

Information on the Site is a general description of what we do, not an offer of engagement. Any coaching, recruiting, placement or strategic alliance engagement is governed by the separate written agreement signed for that engagement, which sets out the scope, fees, term and payment schedule. If anything in that signed agreement conflicts with these Terms, the signed agreement controls for that engagement.

Booking a call does not create a client relationship and does not obligate either of us to proceed.

7. No Guarantee of Results

Pod Recruiting provides coaching, recruiting and advisory services. We do not guarantee any specific outcome — including production volume, revenue, growth, hiring or placement of any candidate, acceptance of any candidate by any employer, or the completion of any merger or alliance. Results depend on many factors outside our control, including your own effort, your market, and decisions made by third parties. Any figures, examples or case results mentioned on the Site or in our communications are illustrative of what some clients have achieved and are not a promise of what you will achieve.

Nothing on the Site or in our Services is legal, tax, accounting, financial, mortgage-lending or regulatory-compliance advice. You are responsible for your own compliance with all laws and regulations that apply to your business, and for seeking your own professional advisers.

8. Intellectual Property

The Site and its content — text, graphics, logos, materials, frameworks, coaching materials and the Pod Recruiting name and marks — are owned by Pod Recruiting or used with permission, and are protected by intellectual property laws. You may view and print content for your own reference. You may not copy, republish, sell, license or create derivative works from it without our prior written consent.

9. Links to Other Sites

The Site may link to sites we do not operate. We provide those links for convenience only, do not endorse or control those sites, and are not responsible for their content, practices or privacy policies. Visiting them is at your own risk.

10. Disclaimer of Warranties

The Site and the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted or error-free operation. We do not warrant that the Site will always be available, secure, or free of errors, or that any message will be delivered.

11. Limitation of Liability

To the fullest extent permitted by law, Pod Recruiting and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, business, goodwill or opportunity, arising out of or relating to the Site, the Services, the messaging program, or these Terms — whether based in contract, tort, or any other legal theory, and even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim relating to the Site, the Services or these Terms will not exceed the greater of the amount you paid us in the twelve months before the claim arose, or one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Pod Recruiting and its owners, employees and contractors from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of your use of the Site or Services, your breach of these Terms, your violation of any law, or your submission of a phone number or information you were not authorized to provide.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms, the Site or the Services will be brought exclusively in the state or federal courts located in Madison County, Illinois, and you and Pod Recruiting consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page and post the updated Terms here. Your continued use of the Site, the Services or the messaging program after an update means you accept the revised Terms.

15. General

If any provision of these Terms is found unenforceable, the rest remains in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy and any signed engagement agreement, are the entire agreement between you and Pod Recruiting regarding the Site and the Services.
